What goes wrong

  1. "All information exchanged" is so broad that courts often will not enforce it. Define the categories.
  2. Carve out what was already public, already known, or independently developed — without those exceptions the agreement is unreasonable on its face.

No filing is required. Exchange signed copies and keep them for as long as the obligation runs, plus your usual retention period.
